Terms of Service

You must be at least 18 years old to use the Platform. By using the Platform, you represent that you have the right, authority and capacity to enter into these Terms and comply with all applicable laws and regulations.

You agree to use the Platform only for lawful, ethical, and permitted purposes, and not to reverse-engineer, scrape, or misuse any component of the Platform.

Exprow provides advisory, strategic and informational services. Our Platform includes AI-assisted analyses and reports generated from user inputs and publicly available data.

We do not provide legal, tax, accounting, financial, medical, or investment advice. All content, including text, insights, frameworks, and AI-generated output, is for informational purposes only and does not constitute professional advice.

Exprow's AI systems generate probabilistic outputs based on input data. These outputs may be incomplete or inaccurate. You are solely responsible for all business decisions, Exprow makes no guarantee of specific results or outcomes, projections or suggestions are hypothetical estimates, and you must exercise independent judgment and seek professional advice where appropriate.

To use certain features, such as saving diagnostics or accessing reports, you may be required to register for an account by providing accurate information. Keep your credentials secure.

You are responsible for all activity under your account. Notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts for violations of these Terms or for security reasons.

Currently, AI reports and services on the Platform may be offered free of charge. In the future, we may introduce paid services or subscriptions.

Payment terms for future offerings will be set out at the time of purchase. All fees are non-refundable once service has been rendered or data has been processed, as the outputs are personalized and delivered immediately, except as required by law or at our sole discretion.

You agree not to:

• Copy, distribute, or resell any part of the Platform or reports without authorization.
• Use the Platform to infringe intellectual property rights.
• Upload harmful content or data, including viruses or illegal content.
• Probe, scan, test, reverse-engineer, scrape, exploit, or misuse the Platform.
• Use AI outputs to create fraudulent, misleading, or illegal content.

All content on the Platform, including text, images, logos, designs, frameworks, reports, and AI-generated materials, is the property of Exprow Consulting Inc. or our licensors and is protected by intellectual property laws.

Users may not copy, modify, or distribute this content without Exprow's express permission. When you submit data or questions to the Platform, you grant Exprow a non-exclusive, royalty-free licence to use that data to provide the service. Except as provided herein, you retain ownership of your input data.

By using the Platform, you consent to our collection and use of your personal data as described in our Privacy Policy.

We use encryption and reasonable security measures to protect your data, but no system is completely secure. We disclaim all liability for unauthorized access or data breaches to the extent permitted by law.

The Platform may use services from OpenAI, Perplexity, and other providers. OpenAI has stated that API input and output are not used to train OpenAI models by default.

We process and temporarily store data to operate the Platform. We do not guarantee the accuracy of AI-generated information and are not liable for decisions you make based on it.

To the maximum extent allowed by law, Exprow Consulting Inc. and its officers, directors, employees, and agents will not be liable for any special, incidental, indirect, punitive, or consequential damages arising from your use of the Platform or reliance on any content.

Our total liability for any claim related to these Terms or the Platform will not exceed the amount you paid, if any, for use of the Platform. Under no circumstances will Exprow be liable for lost profits, loss of data, or business interruption. We make no warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

You agree to defend, indemnify and hold harmless Exprow and its officers, directors, employees, and agents from any claims, damages, or losses arising from your use of the Platform, violation of these Terms, or infringement of any rights of third parties.

We may suspend or terminate your access at any time for breach of these Terms or suspected illegal activity, without notice. Upon termination, your right to use the Platform ends, but the provisions regarding intellectual property, privacy, limitation of liability, and general legal terms will survive.

These Terms are governed by the laws of Ontario, Canada. Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in Ontario under the Arbitration Act, 1991 (Ontario).

Except for small claims matters, you and Exprow agree that all disputes will be resolved individually through final and binding arbitration, not in court. Class action suits are waived. The arbitration will be administered in Ontario, Canada, and judgment on the award may be entered in any court having jurisdiction.

We may modify these Terms at any time. Material changes will be communicated by email, notice on the Platform, or another reasonable method. Continued use of the Platform after changes indicates acceptance of the new Terms.
